About Axis Web Art
Axis Web Art Private Limited is a white label web development agency incorporated in India. We deliver web design, development, eCommerce, digital marketing and AI services exclusively for digital agencies and their clients. We do not take on direct-to-client work outside of agency partnerships.
References to “Axis Web Art,” “we,” “us” or “our” throughout these terms refer to Axis Web Art Private Limited. References to “you,” “client” or “agency” refer to the agency partner engaging our services.
Website use
This website is provided for informational purposes. You may browse and use it for legitimate business research. You may not:
- Reproduce, copy or republish any content from this website without written permission
- Use automated tools to scrape, crawl or harvest data from this website
- Attempt to gain unauthorised access to any part of our website or infrastructure
- Use this website in any way that is unlawful or could damage the reputation of Axis Web Art
We reserve the right to restrict access to this website at any time without notice.
Service agreements
All project work is governed by a written proposal or statement of work agreed between Axis Web Art and the agency partner before work begins. These terms form the baseline legal framework for that relationship. Where there is a conflict between a specific project agreement and these terms, the project agreement takes precedence.
We do not begin work on any project without a signed proposal or written confirmation of scope and payment terms. Verbal agreements are not binding.
Confidentiality and white label commitment
Confidentiality is central to everything we do. We operate as a fully invisible partner.
- We sign an NDA before any project brief or client information is shared with us
- We do not contact your clients directly under any circumstances
- We do not disclose the existence of our working relationship to any third party without your written consent
- We do not use your client’s name, brand or project work in our own marketing, case studies or portfolio without explicit written permission
- These confidentiality obligations survive the end of any individual project or our working relationship
Project scope and change requests
Our project proposals define the scope of work. Anything outside the agreed scope is a change request. Change requests must be submitted in writing and are subject to separate quoting and approval before work begins.
We are not responsible for delays or cost increases that result from scope changes requested after work has commenced. If a change request materially alters the project timeline, we will provide a revised delivery estimate before proceeding.
Client responsibilities
For a project to proceed on time and within budget, we need timely input from the agency partner. You are responsible for:
- Providing a clear, complete brief before the project begins
- Delivering all required content, assets and access credentials by the agreed date
- Providing feedback and approvals within the timeframe stated in the project agreement (typically five to ten business days)
- Ensuring a designated point of contact is available throughout the project
- Reviewing and approving deliverables in a timely manner
Delays caused by late feedback, missing content or unavailability will extend the project timeline. We are not liable for a missed launch date when the delay was caused by factors outside our control.
Payment terms
Payment terms are specified in each project proposal. Standard terms are as follows unless otherwise agreed in writing:
- An upfront deposit is required before any project work begins. The deposit amount is stated in the proposal.
- Milestone payments are invoiced as the corresponding deliverables are completed.
- Final payment is due prior to handover of completed files, credentials or live access.
- Invoices are payable within 14 days of the invoice date unless otherwise agreed.
- Overdue invoices may attract a late payment charge. We reserve the right to pause work on a project where an invoice is more than 14 days overdue.
All prices are quoted in the currency stated on the proposal. For international transfers, the agency partner is responsible for any bank or wire transfer fees.
Intellectual property
On receipt of full payment for a project, intellectual property in the custom work we have created transfers to the agency partner. This includes custom code, design files and written content produced specifically for the project.
The following do not transfer as part of any project:
- Third-party software, frameworks, libraries and plugins used in the build. These remain subject to their own licences.
- Themes or templates purchased from third-party marketplaces. The licence for these remains with the purchaser.
- Any Axis Web Art internal tools, code libraries or systems used in delivery that were not created specifically for your project.
We retain the right to use our general skills, knowledge and experience gained during any project for future work.
Project delays and abandonment
If a project is paused for more than 30 days due to inaction on the agency or client side, we reserve the right to charge a re-engagement fee to resume work. This covers the overhead of re-familiarising the team with the project.
If a project has received no communication for more than 60 days without an agreed suspension, we may consider the project abandoned. In this case, we will invoice for all work completed to date and close the project file. Restarting an abandoned project will be treated as a new engagement.
Revisions
The number of revision rounds included in a project is specified in the proposal. Revisions are amendments within the agreed scope. They are not opportunities to change the brief, add features or alter the direction established in the approved design or wireframes.
Revision rounds beyond those included in the proposal are chargeable at the rate specified in the proposal or at our standard hourly rate if no rate was specified.
Third-party services and platforms
Many projects involve third-party platforms such as Shopify, WordPress, WooCommerce, BigCommerce, Google Ads or Meta Ads. We are not responsible for:
- Changes to third-party platform terms, APIs or functionality that affect your project after delivery
- Platform outages, policy changes or account suspensions outside our control
- The cost of third-party licences, app subscriptions or platform fees required for your project
We will advise on third-party requirements during the scoping process. Any third-party costs are separate from our service fees unless explicitly included in the proposal.
Warranties and liability
We warrant that work delivered by Axis Web Art will be completed with reasonable skill and care, and will conform to the specifications agreed in the project proposal at the point of delivery.
We do not warrant that:
- Any website or digital product will achieve specific business outcomes, search rankings or conversion rates
- Third-party platforms, plugins or services will remain available or unchanged after delivery
- Work will be entirely free of defects beyond those identified and corrected during the agreed review period
Our total liability to you in connection with any project is limited to the fees paid for that project. We are not liable for any indirect, consequential or loss-of-profits damages, regardless of how they arise.
Termination
Either party may terminate a project agreement with written notice. On termination:
- We will invoice for all work completed to the date of termination, based on the proportion of the agreed scope delivered
- Any upfront deposits paid are non-refundable unless the termination is caused by a material breach on our part
- We will deliver all completed work files to the agency partner upon receipt of final payment for work completed
- Confidentiality obligations remain in force after termination
Governing law
These Terms of Service are governed by the laws of India. Any disputes that cannot be resolved informally will be referred to the courts of Jaipur, Rajasthan, India, unless both parties agree in writing to an alternative jurisdiction or arbitration process.
For agency partners based in the US, UK, Australia or Canada, we are open to including a jurisdiction clause in individual project agreements that better reflects your location. Please raise this before signing a proposal.
Changes to these terms
We may update these Terms of Service from time to time. The current version is always available at this URL. We will notify active partners of significant changes by email. Continuing to engage our services after updated terms are posted constitutes acceptance of the revised terms.
